Terms of Service — Noah's Ark Chrome Extension

1. Identity of the Household Business

The Noah's Ark Chrome extension (the "Extension") and the associated backend service (collectively, the "Service") are operated by:

Hộ Kinh Doanh Võ Thị Huyền Vân – Cố Vấn Độc Lập A registered Vietnamese household business (hộ kinh doanh) in the independent-consultant trade.

In these Terms, "the Household Business," "Hộ Kinh Doanh," "we," and "us" all refer to Hộ Kinh Doanh Võ Thị Huyền Vân – Cố Vấn Độc Lập. "You" and "user" refer to any person who installs or uses the Extension.


2. Acceptance and Age Requirement

2.1 Acceptance by installation

Installing the Extension constitutes your acceptance of these Terms of Service, our Privacy Policy, and our End-User License Agreement. If you do not agree to these Terms, you must uninstall the Extension and not use the Service.

2.2 Minimum age

You must be at least 13 years old to use the Service.

If you are a resident of a European Union or European Economic Area member state, the minimum age is 16 years old, unless the member state in which you reside has legislated a lower threshold (but in no case below 13), in accordance with GDPR Article 8(1).

If you are under the applicable minimum age, you must not install or use the Extension. We do not knowingly collect personal data from children below the applicable minimum age.


3. Service Description

3.1 Single purpose

The Service exists for one purpose: collaborative analysis of finance content. Noah's Ark adds a community discussion layer to finance and crypto articles. It is not a standalone research tool, a brokerage platform, or a financial data aggregator.

3.2 Three pillars

The Service is built on three technical components:

NLP Entity Sensor. When you open a supported finance or crypto page, the Extension runs a multi-pass extraction pipeline that detects the financial entity on the page — a stock, a cryptocurrency, or a company. The entity is used to anchor the discussion room; raw page text is processed locally and discarded after extraction.

Dual-Tab Gravity Engine. The discussion panel has two tabs. The Free Speech tab shows a live stream of all posts in the room. The Main Deck tab shows posts ranked by a Wilson-score gravity algorithm that runs server-side; the client receives pre-ranked results. Discussion is the product. The AI is a feature of discussion.

AI Evidence Provider. When you highlight a claim in the discussion and request evidence, the Extension sends the highlighted text and your stated intent to a server-side pipeline. That pipeline queries multiple AI providers, retrieves supporting and contrasting sources, and streams back a synthesis with citations. The copilot operates inside discussions only; it is not a standalone chat interface.

3.3 Supported sites

The Extension operates on Google Finance, Yahoo Finance, Investing.com, and additional finance and crypto sites. The Household Business may add or remove supported sites at any time.


4. User Accounts

4.1 Authentication

Account creation uses Google Sign-In via OAuth2 (chrome.identity API). By signing in, you authorize the Extension to receive your Google account email address, display name, and profile photo URL from Google's OAuth2 service.

Sign-in is optional for reading discussions. Posting, voting, and accessing the AI evidence copilot require a signed-in account.

4.2 Optional username

You may claim a unique username within the Service. Usernames are validated and reserved server-side. A username is subject to the Acceptable Use rules in §7 of these Terms.

4.3 Account responsibility

You are responsible for all activity that occurs under your account. You must not share your Google credentials with others or allow others to use your account. You must notify the Household Business promptly at repodcasts408@gmail.com if you become aware of unauthorized access to your account.

4.4 One account per person

Each person may hold one account. Creating duplicate accounts to circumvent rate limits, moderation actions, or any other service policy is prohibited.


5. Anonymity and Pre-Authentication Identity

The Extension assigns an anonymous local identifier (creator_uuid) to your browser before you sign in. This identifier associates any posts you make before sign-in with your account when you subsequently sign in via the claimLegacyPosts mechanism. The identifier is stored in your browser's local storage and is not transmitted to any third party other than the Service's own backend.


6. User-Generated Content

6.1 Scope

"User-generated content" (UGC) means all posts, vote actions, and report submissions you submit to the Service.

6.2 License grant

You retain ownership of your UGC. By submitting UGC to the Service, you grant the Household Business a non-exclusive, royalty-free, worldwide license to host, store, display, distribute, and transmit the UGC as part of the Service for as long as the UGC remains on the Service. This license terminates when the UGC is permanently deleted from our servers.

6.3 Your representations

By submitting UGC, you represent and warrant that:

(a) You own the UGC or hold all rights necessary to grant the license in §6.2.

(b) The UGC does not defame, harass, or threaten any person.

(c) The UGC does not violate any applicable law or regulation.

(d) The UGC does not infringe any third-party copyright, trademark, patent, trade secret, or other intellectual property right.

(e) The UGC does not disclose private, personally identifiable information about any third party without their consent.

(f) The UGC does not constitute market manipulation, insider trading tips, securities fraud, or any other prohibited financial conduct under applicable law.

6.4 Post deletion and tombstoning

User-deleted posts. When you delete your own post, it is "tombstoned" — the post content is hidden but the record is retained for a recovery window. You may request restoration of a self-deleted post within that window by contacting repodcasts408@gmail.com.

Moderation-removed posts. When the Household Business removes a post for violation of these Terms or the Acceptable Use policy in §7, that removal is permanent. Moderation-removed posts are not restorable by users. The Household Business will not reverse a moderation removal at the request of the user who submitted the content.

6.5 Post status model

Each post carries one of three statuses: visible, deleted-by-user (tombstoned, recoverable within the recovery window), or mod-removed (permanent). This tri-state model is enforced server-side and cannot be altered by the client.


7. Acceptable Use

You must not use the Service to:

(a) Harass, threaten, or abuse any person or group of persons.

(b) Post spam, including repetitive posts, unsolicited promotional content, or artificially inflated activity.

(c) Doxx any person — that is, post private personal information about any individual without their consent.

(d) Operate automated accounts or bots for posting, voting, or any other interaction with the Service.

(e) Scrape the Service by automated means or access the Service's APIs in ways not expressly authorized by these Terms.

(f) Reverse-engineer, decompile, or disassemble the Extension or any part of its backend infrastructure.

(g) Manipulate financial markets by coordinating artificial price discussion, spreading false information about securities or cryptocurrencies, or engaging in any activity that violates securities or commodities law.

(h) Impersonate any person, company, or entity, including Household Business staff or other users.

(i) Infringe copyright or other intellectual property rights of any third party.

(j) Commit securities fraud or insider trading, including posting material non-public information.

(k) Circumvent any access controls, rate limits, or moderation mechanisms of the Service.

(l) Use the Service in any way that violates applicable law, including Vietnamese law, EU law (for EU residents), and California law (for California residents).

The Household Business reserves the right to remove content and suspend or terminate accounts that violate this section without prior notice.


8. AI Evidence Copilot — Disclaimers

8.1 Research tool only

The AI evidence copilot is a research aid, not financial advice. The Household Business is not a broker-dealer, registered investment adviser, or any other type of licensed financial services provider under any jurisdiction's law. Nothing the copilot outputs constitutes investment advice, a recommendation to buy or sell any security or asset, or a solicitation of any investment transaction.

8.2 Accuracy limitations

AI-generated outputs may be incomplete, outdated, inaccurate, or inconsistent. The pipeline queries multiple providers in sequence (Perplexity AI search phase, xAI retrieval phase, Google Gemini retrieval and embedding phase, and Anthropic Claude synthesis phase), and no single output has been reviewed by a human financial professional before delivery to you.

8.3 Your responsibility

You are solely responsible for any investment or financial decisions you make. You must not rely on the copilot's output as your primary or sole source of information for any investment decision.

8.4 Rate limits

The AI evidence copilot is subject to per-user request quotas. Quota limits differ by tier (free vs. Pro). Circumventing or attempting to circumvent quotas constitutes a violation of §7(k) and may result in account suspension.

8.5 Third-party AI providers

The server-side pipeline sends the user's highlighted claim text and stated intent to third-party AI providers (Perplexity AI, xAI, Google Gemini, Anthropic Claude) for processing. The user's Firebase UID, email address, and display name are not transmitted to these providers. Full disclosure of data flows is in the Privacy Policy.


9. Pricing

9.1 Free tier

The Service is currently free to install and use. All core discussion features are available on the free tier.

9.2 Pro tier (not yet in-product)

An optional Pro tier is planned at a target price of $9.70 per month. The Pro tier is not currently available in the product. When and if it ships, it will raise the AI copilot request quota. Core discussion features will remain available on the free tier. Pro upgrades will be handled inside the Extension; payment will not be processed through the Chrome Web Store payment system.

9.3 Pricing changes

The Household Business will provide at least 30 days' advance notice before introducing any mandatory paid tier or changing the price of an existing paid tier. Notice will be provided via an in-Extension banner and/or by email to the address on file for your account.


10. Privacy

Your privacy is governed by the Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy is the canonical document for all data-collection, data-use, data-retention, and data-deletion practices.

In summary: the Service collects authentication tokens and optionally your Google account email, display name, and photo URL; user-activity data (posts, votes, copilot requests); and article-text website content processed locally for entity detection (the raw text is discarded after extraction; only the derived entity reference is retained). The Service does not collect financial information, location data, health data, or browsing history outside the supported sites.

11. Intellectual Property

11.1 Household Business IP

The Household Business owns or holds rights to the following:

(a) The Extension's source code and compiled artifacts.

(b) The "Noah's Ark" name and branding.

(c) The dual-tab gravity algorithm (Wilson-score ranking + batch-worker architecture) implemented server-side.

(d) The AI pipeline architecture (5-phase Perplexity → xAI → Gemini → Anthropic synthesis pipeline).

(e) The NLP entity sensor design (multi-pass compromise.js pipeline + ALIAS_MAP dictionary).

Nothing in these Terms transfers any of the above rights to you.

11.2 User content

You retain ownership of your UGC subject to the license grant in §6.2.

11.3 Third-party marks

Discussions may reference publicly traded companies, tickers, news outlets, and other third parties. All trademarks, trade names, and service marks referenced in user content belong to their respective owners. Such references are for nominative identification only and do not imply any affiliation with or endorsement by those owners.

The Extension operates on sites including Google Finance, Yahoo Finance, and Investing.com. These are trademarks of their respective owners. Noah's Ark is not affiliated with or endorsed by any of those sites.

11.4 Software license

Your right to install and run the Extension is governed by the End-User License Agreement (EULA), which is incorporated into these Terms by reference. These Terms govern the broader service relationship; the EULA governs the software license specifically.


12. Disclaimers and Limitation of Liability

12.1 "As is" service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE HOUSEHOLD BUSINESS EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

THE HOUSEHOLD BUSINESS DOES NOT WARRANT THAT: (a) THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE; (b) ANY CONTENT, INCLUDING AI-GENERATED EVIDENCE, WILL BE ACCURATE, COMPLETE, OR CURRENT; OR (c) THE SERVICE WILL MEET YOUR REQUIREMENTS.

12.2 Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE HOUSEHOLD BUSINESS'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF:

(a) The total fees you have paid to the Household Business in the 12 months immediately preceding the claim; or

(b) USD $50.

THIS LIMITATION APPLIES TO ALL CLAIMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE HOUSEHOLD BUSINESS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

12.3 Non-waivable exceptions

Nothing in §12 limits liability for:

(a) Gross negligence or willful misconduct by the Household Business.

(b) EU consumer-protection rights — EU users' non-waivable rights under applicable EU law are not limited or excluded by these Terms. Where EU consumer-protection law provides rights that cannot be contractually excluded, those rights remain fully in force.

(c) California CCPA private right of action — California residents retain their private right of action under California Civil Code §1798.150 for unauthorized access to or disclosure of their unencrypted personal information as a result of a failure to implement reasonable security practices. This right is not waived by these Terms.


13. Indemnification

You will defend, indemnify, and hold harmless the Household Business, its principal (Võ Thị Huyền Vân), and its operating developer (Lê Vũ Minh Phúc) from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or relating to:

(a) Your UGC, including any claim that your UGC infringes a third party's intellectual property rights, defames a third party, or violates any law.

(b) Your violation of any provision of these Terms.

(c) Your violation of any applicable law or regulation in connection with your use of the Service.


14. Termination

14.1 Termination by you

You may terminate your relationship with the Service at any time by: (a) uninstalling the Extension from your browser; and (b) submitting an account-deletion request to repodcasts408@gmail.com.

Upon account deletion, your user profile and authentication record are removed; content you posted is handled per the tri-state moderation model described in §6.5. Self-deleted posts in their recovery window are purged on the standard tombstone schedule; moderation-removed posts remain removed and are not restorable.

14.2 Termination by the Household Business

The Household Business may suspend or terminate your account with or without notice for:

(a) Any material violation of these Terms or the Acceptable Use policy in §7.

(b) Any conduct the Household Business reasonably believes is harmful to other users, the Service, or third parties.

(c) Any request by law-enforcement or regulatory authorities.

14.3 Effect of termination

Upon termination:

(a) The licenses granted to you in these Terms and in the EULA terminate immediately.

(b) Your right to access the Service ceases.

(c) Sections 6.2 (license for surviving content), 8 (AI disclaimers), 11 (IP), 12 (limitations), 13 (indemnification), 16 (governing law), and 17 (miscellaneous) survive termination.


15. Changes to These Terms

The Household Business may amend these Terms at any time. For material changes, the Household Business will provide at least 14 days' advance notice via an in-Extension banner, a notice on the Service's associated website (when published), or by email to the address associated with your account.

Your continued use of the Service after the effective date of amended Terms constitutes your acceptance of the changes. If you do not agree to the amended Terms, you must stop using the Service and uninstall the Extension before the effective date.


16. Governing Law and Dispute Resolution

16.1 Governing law

These Terms are governed by the laws of the Socialist Republic of Vietnam, without regard to its conflict-of-law rules.

The primary regulatory baseline is:

16.2 Default venue

Any dispute arising out of or related to these Terms or the Service will be submitted to the exclusive jurisdiction of the District People's Court (Tòa án Nhân dân Cấp huyện) holding territorial jurisdiction over the Household Business's registered address, as provided in Bộ luật Tố tụng Dân sự 2015, Article 35.

16.3 No arbitration

These Terms do not contain an arbitration clause. The Household Business will not require you to submit any dispute to binding arbitration. You retain the right to bring claims in a court of competent jurisdiction.

16.4 GDPR carve-out (EU users)

If you are a resident of an EU or EEA member state, the choice-of-law and venue clauses in §16.1 and §16.2 do not limit your rights under GDPR or applicable EU consumer-protection law. You may:

(a) Lodge a complaint with the data-protection authority (DPA) of your member state in accordance with GDPR Article 77.

(b) Bring judicial proceedings before the courts of your member state of habitual residence in accordance with GDPR Article 79.

16.5 CCPA carve-out (California residents)

If you are a California resident, the choice-of-law clause in §16.1 does not limit your rights under the California Consumer Privacy Act (CCPA). You retain the right to:

(a) Submit a request to know, delete, or correct your personal information under CCPA §1798.100, §1798.105, and §1798.106.

(b) File a complaint with the California Privacy Protection Agency under CCPA §1798.155.

(c) Exercise the private right of action for unauthorized disclosure of personal information under CCPA §1798.150.


17. Miscellaneous

17.1 Severability

If any provision of these Terms is found invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions will continue in full force and effect.

17.2 Entire agreement

These Terms, together with the Privacy Policy and the End-User License Agreement, constitute the entire agreement between you and the Household Business regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties regarding the Service.

17.3 Force majeure

The Household Business will not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, internet or telecommunications outages, acts of government, or third-party service failures (including Firebase, Google Cloud, or AI provider outages).

17.4 No waiver

The Household Business's failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

17.5 Assignment

The Household Business may assign these Terms or any rights under them to any successor or affiliate without your consent in connection with a merger, acquisition, or sale of assets. You may not assign or transfer your rights or obligations under these Terms without the prior written consent of the Household Business.

17.6 Language

These Terms are written in English. In the event of any conflict between an English version and a translated version, the English version controls.
